    thinking of upgrading cpu.

Your CPU is fine with the games that you are playing, for example, medieval total war, in my 3rd system with 3700+ CPU, i can play Rome total war without any stuttering/errors that goes with company of heroes too. Did you by any chance overclocked your CPU or Gfx Card?

    thinking of upgrading cpu.

If you really want to change your CPU to a dual core one, go for the 4400+ or 4800+. The 4600+ has a total of 512Kb L2 cache, while 4400+ and 4800+ has 1Mb in total.

    amd x2

My X2 3800+ reached upto 2.5Ghz stable and my X2 4400+ reached 2.5Ghz. You can see the difference, 3800 can overclock better than 4400. But dont go straight to 2.5 :P, just do it bit by bit. To test the stability of your OCing download Prime95 or Orthos. Run it for at least 24 hrs.

    WinXP Pro vs. Win2k Pro

Maybe two year ago, id vote for Win2k Pro, but now my vote is on its Xp Pro, due to the fact that MS stopped their support on Win2Ks. XP is generally more secured(MS Products only :P ) than 2k especially when your in a domain. But i must admit 2k is lighther than xp.
