I decided to go with an s939 board instead of s754 . Im going to get this Gigabyte K8NS Ultra S939 . I will use an AMD (Winchester) Athlon 64bit 3000+ 939pin

Im not going with PCI - Express board because 2 months ago I bought a ATI Radeon 9600XT card which will be also used on my new system.

It's a good motherboad, but really for an AGP 939 Board you should be looking at the top 3 boards:
    Abit AV8 3RD Eye 939
    MSI K8Neo2 Platinum 939
    Asus A8V Deluxe Rev 2.0 939

they are priced at around the same.

The Abit AV8 3RD Eye performs overall better than the MSI and the Asus as confirmed by tests (but only by 0.4% max).

I'd definately go for one of these motherboards i've listed - they are great, Gigabyte make good quality boards but the MSI / Abit & Asus are a hell of alot better.

Nice choice mate, I've got exactly the same processor and motherboard. They both work great in tandem and are quite zippy. Can't beat the price either. The mobo is easy to setup and is really stable in my opinion. I've had no problems at all with my setup. The 3000+ winchester runs really cool but I suggest you order an Arctic Cooling 64 Ultra heatsink/cpu cooler and some Arctic Silver paste and you should have temps around 30 C. Good luck with this one!
