could any-one recomend what mobo & cpu to upgrade to , have had a look on dabs but there are loads of diffrent manufacturers let alone which 1 to go for .... help !

If I was you, I wouldn't upgrade your existing hardware at all. It looks like you have a fairly OK system, but not modern enough to build upon. I'd leave that system the way it is (use it for something else, give it to somebody, sell it, etc) and just build a new system from scratch, if that's the way you want to go.
 
spuff : aimly use for surfing , misses uses it for shopping general type stuff , no need for gaming , use the ps2 instead when i can be bothered more fun had surfing instead !
anti trend : what would you advise for a tight arse brit ? ok have mortgage bills etc etc , intend buying 2nd hand & building it myself bit at a time , should be fun ....check out previous posts !

If all you're doing is surfing, I'd recommend something along these lines:

CPU: AMD Duron or Sempron
RAM: 256-512MB PC3200 Kingston Value RAM
Motherboard: Anything with a VIA KT-400 or KT-600 chipset. Gigabyte and MSI both make great VIA boards for low cost.
HDD: Western Digital or Seagate -- size depends on how much you want to spend
Chassis: One with primarily good cooling, and secondarily looks you admire
PSU: Thermaltake PurePower 420watt
Fans: ball bearing; I like Thermaltake or Enermax fans
